 MINUTES OF THE

 Full Association Membership

 OF

 HIGHLAND OAKS HOMEOWNERS ASSOCIATION

 

 The first regular meeting of the full association membership of the above association was held on  May 13, 1997 at  7:30 p.m. at  New Albany,  Indiana.

 The purpose of the meeting  - This meeting was the first meeting of the Highland Oaks Homeowners Association for the purpose of establishing the form of the organization and to discuss matters of importance to the members.

 1.  QUORUM.   A quorum was declared present based on the presence of  60% of the homeowners as defined in the Highland Oaks restrictions.  

 The following corporate actions were taken by appropriate motions duly made, seconded, and adopted by the  majority  vote of the  Directors entitled to vote (unless a higher voting approval is stated).

 2.  ELECTION OF CHAIRPERSON AND SECRETARY.   Steven Hammel was appointed chairperson of the meeting, and  Byron Graham was appointed as secretary to prepare a record of the proceedings.

 3.  ELECTION OF OFFICERS.  The following persons were elected as officers for the terms provided in the bylaws:

 4.  ESTABLISH BANKING RELATIONSHIP.  The officers are authorized to open accounts with  Steven Hammel, President and Jeffrey Johnson, Treasurer   The form of resolution as provided by the bank was adopted and a copy is attached. The attached bank form resolution states the names of the persons who are authorized to sign checks and drafts.

 5.   Items Discussed. Street signs -  Steve indicated that several residents would like to see an upgrade in the street signs, along with putting them in concrete.  Steve said the Blaine Ballard of Crossman Communities would assist the Homeowners with the upgrade.  Everyone at the meeting agreed that an upgrade would be appropriate and should be further pursued.

Maintenance of the front entrance to the neighborhood -  Steve said that his family worked on the entrance over the past weekend.  Steve also indicated that Greg Furnish, Developer, will be installing wrought iron on the stone entrance in the near future.  Greg Furnish will also have sod installed in the grass areas of the entrance way.   Steve also noted that dues to the Homeowners Association would pay for maintenance in the future.

Street Lights - It was agreed that gas lights that match the gas lights in each resident's yard would be a great addition to the front entrance of the neighborhood.  This item should be pursued further and discussed with Greg Furnish.

Tri-Mark - Residents that attended the meeting are extremely concerned about the Tri-Mark home being built in Highland Oaks. It was agreed that a list of issues should be developed regarding this topic in order the discuss with Greg Furnish.   A more complete and broad list of items to discuss with Greg Furnish is below, however, some issues about Tri-Mark include the following:  restrictions indicate NO pre-fab homes; basements vs. slab or crawl space; 30 day written notice to homeowners about the Tri-Mark transaction; residents were told that the Model Home in Highland Oaks would set the precedent for future homes - Tri-Mark homes DO NOT compare to the Model Home. 

Gas Lights - It was agreed that an ALL black gas lights should be the standard for the neighborhood.   The white gas light on Weatherby Way should be brought to the attention of the Developer and corrected.

Park - The Park will be part of Phase II Development.  Due to the fact that Phase II is not open yet, Greg Furnish told Steve Hammel

 6.   Association Dues. Steve Hammel asked the attendees their thoughts about increasing dues to $100.00.  It was agreed to leave dues at $50.00 per year per residence and evaluate the need for an increase at a later date if necessary.  Dues are due at the next scheduled meeting.

 7.   Restrictions. Residents are concerned about restrictions being changed by the developer without notice.  This issue will be discussed with Greg Furnish.  In addition, residents would like a current copy of the Highland Oaks restrictions.  Greg  Snyder said she would try to obtain the restrictions from the Courthouse by the next meeting.

 8.   Issues for Greg Furnish.  · Tri-Mark

· All residents are very concerned about the community and value of their respective homes

· Model home was suppose to set precedent for community; Tri-Mark does not meet this standard

· Pre-Fab homes - it appears that these homes may violate our restrictions

· Basements vs. slab or crawl space

· 30 day written notice for changes in community and restrictions

· Greg's reputation

· Please come talk to the Homeowners Association, the residents want to hear his thoughts

· Homeowners Association is beginning to seek legal advice

· Gas Lights at front entrance of neighborhood

· Gas Lights are different at several residences.  The standard should be all black gas lights.  Developer should monitor this standard.

· Restrictions - If restrictions are changed, please notify the Homeowners Association FIRST.   Additionally, the Homeowners need a current copy of the restrictions.

· Phase II - Has sewer permits been obtained?  If so, when will  Phase II begin?  Can Phase II begin before Phase I is complete?

· Park - Several residents were told by you (Greg Furnish) that Shelter House, play equipment, walking trails, etc... would be built in Park.  Please explain exactly what will be built and what will not.  Additionally, several residents indicated that a "starting off" fund would be established by the Developer for the Park.  Is this true???

· Bank repossessed home at corner of Highland Oaks Drive and Inverness.  When will this house be finished and by whom?  It has been setting idle for several months.

· Street signs - Several residents were told that street signs would be VERY NICE such as those displayed in Chapel Creek.  Will Developer replace street signs with wrought iron signs??

· Upgrade Entrance to community - When will this entrance to the community be complete?

· All vacant lots need to be mowed through the summer months as restrictions indicate.

· Builders trash - PLEASE CONTROL IT!!!   Additionally, concrete trucks wash their trucks out at the end of our streets and create a mess.

 9.  NEXT MEETING.  The next meeting of the  Association will be held on  June 3, 1997, at  7:30 p.m., at  The Model Home at the Highland Oaks Subdivision.

 There being no further business, the meeting was duly adjourned.
